Here you will find the most frequently asked questions about our crowdinvesting.
General
Crowdinvesting is a form of crowdfunding where you can buy company shares and the crowd, in our case our community, participates in the financial success of the company. We carry out crowdinvesting with the platform conda.ch. When you buy a share, you are a co-owner of NIKIN.
This is an offer for the purchase of shares and is directed exclusively at private individuals as well as companies in Switzerland. Persons residing in other countries are expressly excluded and it is prohibited to distribute this offer in any way in such countries. The offer is limited to a total of CHF 5,000,000 in Switzerland.
Therefore, in principle, any person in Switzerland can invest:
- Is over 18 years of age, is of age, solvent and solvent, is not in debt and has the authority to enter into legally binding contracts
- has the domicile in Switzerland (no c/o address)
- is not a US person
- is not a resident or domiciled in any geographic area subject to sanctions or embargoes imposed by the UN, USA, EU, Switzerland or any other sovereign country, or is not a citizen of any such geographic area, is not a national of any of the following countries: Afghanistan, Burundi, Central African Republic, Cuba, Democratic Republic of Congo, Eritrea, Ethiopia, Iran, Iraq, Laos, Libya, Arab Jamahiriya, Myanmar, Korea (North Korea), Occupied Palestinian Territory, Pakistan, Somalia, Russia.
The minimum investment is CHF 375 (one registered share), the maximum CHF 1'875'000 (5000 registered shares) per person.
We want to grow in order to have an even greater positive impact. To do this, we need financial resources to be able to finance this future growth. To this end, we need to invest in personnel and professionalization in the areas of retail, B2B, product development, purchasing, and sustainability. Furthermore, we would like to finance marketing expenses for internationalization and customer acquisition. We are extremely proud to launch our first crowdinvesting campaign and to make the most important people, including you, the first investors and new co-owners of NIKIN !
Process
- Go to conda.ch
- Create a profile on conda.ch
- Click on "Invest" on the NIKIN campaign page.
- Enter your desired investment amount. The minimum amount is CHF 375 for one share, after that the number of shares is freely selectable.
- Click on "next" and "Confirm investment".
- After that you will receive all further instructions by email and you need to do the following:
→ Upload a valid passport or ID to your Conda user profile.
→ Payment: You can pay either by e-banking or by credit card (credit card payments are only possible after successful verification by passport or ID).
Please log in to your Conda profile. At "Account overview" and then at "My orders" you have the IBAN/payment details or the possibility to pay by credit card. Please note that the transfer is done via IBAN to an account of Lemonway SAS.
- As an investor and co-owner, you will benefit either from regular profit distributions or from a share in the value of the company in the event of a sale.
- You will be regularly informed about the company development of NIKIN .
- Your opinion will be asked in investor and co-owner surveys, so you can influence the future of NIKIN .
- Please note: Due to high investments, it is planned to be profitable from 2026. Therefore, no profit distributions are planned up to and including 2025.
Information on NIKIN

Until now, NIKIN had no external investors. That's why we are especially pleased to be the first to offer our community the chance to become an investor and co-owner.
No, an NIKIN IPO is not planned as of now. The plan is that all shareholders will have a financial return either in the form of profit sharing (dividend) or enterprise value sharing (sale). However, we will evaluate the additional option of an IPO again at a later date, depending on the future.
NIKIN was profitable every year from 2017 to 2020. In 2021, NIKIN was not profitable especially due to high investments in the market development of Germany. With a successful crowdfunding, we still plan to make large investments and be consistently profitable from 2026.
NIKIN currently has a share capital of CHF 100,000, divided into 100,000 registered shares of CHF 1 each. At an issue price per share of CHF 375 according to the current financing round, the calculated enterprise value of NIKIN is therefore around CHF 37.5 million. This valuation is based on the issue price per share in the current financing round. The valuation of start-up companies such as NIKIN is difficult and is therefore associated with great uncertainties and risks. Large upward and downward fluctuations in value cannot be ruled out.
Effects and risks
We cannot give you a 100% certainty for this. Should NIKIN become insolvent / go bankrupt in the worst case, a total loss of your investment could be the consequence.
Each registered share is treated as a conventional security. With your tax domicile in Switzerland, this means that you must report the value of your purchased securities as part of your assets and any dividends must also be taxed.
We do not guarantee a return on your investment. However, as soon as NIKIN distributes a profit, you benefit directly from it. How much profit is distributed per share is decided by the general meeting. Often shares also experience an increase in value due to the increase in value of the company. We cannot predict or guarantee whether an increase in value will occur in future years. We can only promise that we will work hard to achieve it.
Basically, you can lose your invested capital completely. However, we do not want this under any circumstances and therefore work every day with heart and soul to get the best out of NIKIN .
You will not see any immediate performance of your shares for the time being, as they are not listed on any stock exchange.
For the time being, you need the written consent of all shareholders and must offer the shares first to the company, then to the shareholders with more than 5% of the company, and then to all shareholders. Therefore, do not invest money that you need to live. However, we will take a closer look at different possibilities so that shares can be sold and transferred individually in the future.
Unfortunately, it is not possible to buy shares in the name of another person. What we do offer, however, is to send you a physical share certificate with the name of the person receiving the gift written in large letters at the top. The certificate has no legal validity and is only symbolic. However, we will look at different platforms and solutions after the current crowdinvesting, where a simple transfer of shares should hopefully be possible. If you are interested in a share certificate, please send us your address to funding@nikin.ch. We will then send you by mail a certificate that you have to fill out yourself.
If there is a sale of NIKIN or a so-called IPO, i.e. a listing on the stock exchange, your shares will automatically be blocked and you will receive the same price per share as professional investors, provided that you still own your participation certificates at that time.
